1. Who we are and acceptance of these Terms

The Serviz platform (the "Platform"), available through the Serviz mobile application and the website https://serviz.lat, is operated by Godshot LLC, a limited liability company organized under the laws of the State of Delaware, United States of America, with its address at 600 N Broad Street, Suite 5 #364, Middletown, Delaware 19709 ("Serviz", "we", "us" or the "Company").

These Terms and Conditions (the "Terms") are a legally binding agreement between you (the "User") and Godshot LLC. By creating an account, checking the acceptance box, or accessing or using the Platform in any way, you represent that you have read, understood, and agreed to be bound by these Terms and by the Privacy Policy, which is incorporated by reference.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE PLATFORM.

IMPORTANT NOTICE: Section 24 contains a binding individual arbitration clause and a class action waiver that affect your legal rights, to the extent permitted by the applicable law of your country. Please read it carefully.


2. Definitions

  • "Platform": the Serviz mobile application, the website https://serviz.lat, and all associated technology services.
  • "Client": a User who requests and books Professional Services through the Platform.
  • "Provider": a User who independently lists, offers, and performs Professional Services through the Platform.
  • "Operator": a person designated by a Provider to perform a Professional Service on the Provider's behalf and under the Provider's sole responsibility.
  • "Professional Service": the in-person, physical service (e.g., plumbing, cleaning, electrical work, gardening) offered by a Provider and booked by a Client. Professional Services are not provided by Serviz.
  • "Booking": a Client's request to engage a Provider's Professional Service through the Platform.
  • "Commission": the fee Serviz charges for use of the Platform, applicable to the Client, the Provider, or both.
  • "Coupon": promotional or compensatory credit issued by Serviz for exclusive use within the Platform.
  • "PRO Subscription": an optional paid subscription with additional benefits for Clients or Providers.
  • "User Content": any content posted by Users (photos, descriptions, reviews, messages, etc.).

3. Nature of the Platform — Serviz is a technology intermediary

This section defines the essential nature of the relationship between you and Serviz. Please read it carefully.

3.1. Serviz is solely a technology intermediation platform that connects Clients seeking Professional Services with independent Providers who offer them. Serviz does not provide, perform, supervise, or control Professional Services, does not employ Providers or Operators, and is not a staffing agency, service company, general contractor, or insurer.

3.2. The contract for the Professional Service is entered into exclusively between the Client and the Provider. Serviz is not a party to that contract and assumes no obligation whatsoever regarding the performance, quality, safety, timeliness, legality, or outcome of the Professional Service.

3.3. Payment collection mandate (limited payment collection agent). Each Provider irrevocably appoints Serviz as its limited payment collection agent for the sole purpose of collecting, in the Provider's name and on the Provider's behalf, the amounts owed by Clients for Professional Services. Payment made by a Client to Serviz is deemed, for all legal purposes, payment made directly to the Provider, and discharges the Client's payment obligation to the Provider, regardless of whether Serviz subsequently remits the funds to the Provider. The obligation to remit funds to the Provider (net of Commissions and other applicable charges) is exclusively an obligation of Serviz to the Provider under these Terms.

3.4. Funds collected under the mandate in Section 3.3 do not constitute deposits, public savings collection, or financial intermediation activity. Serviz processes payments through authorized third-party payment processors (see Section 9).

3.5. Any identity, background, or license verification Serviz may perform on Providers (Section 5) is for Platform safety purposes and does not constitute a guarantee, endorsement, recommendation, or certification of any Provider, Operator, or Professional Service.


4. Eligibility

4.1. To use the Platform you must: (a) be at least 18 years old; (b) have legal capacity to contract; (c) not have been previously suspended or removed from the Platform; and (d) not be listed on any applicable sanctions list.

4.2. One account per person is permitted. Accounts are personal and non-transferable. A single account may act as both Client and Provider.

4.3. If you use the Platform on behalf of a legal entity, you represent that you have sufficient authority to bind it to these Terms.


5. Accounts, registration, and verification (KYC)

5.1. You agree to provide information that is true, accurate, current, and complete, and to keep it updated. False or outdated information may result in suspension or termination of your account.

5.2. You are responsible for keeping your credentials confidential and for all activity under your account. Notify info@serviz.lat immediately of any unauthorized use.

5.3. Provider verification. Before listing services, Providers must complete an identity verification process including, among other items: government-issued ID (front and back), verification selfie, proof of address, and, for trades that require it, a valid professional license, registration, or certification. Serviz may approve, reject, or revoke verification at its sole discretion and may require additional verification at any time.

5.4. The Provider is solely responsible for holding the licenses, registrations, permits, insurance, and tax registrations required by the laws of their country and trade to perform Professional Services, and for keeping them current. Serviz does not continuously verify the validity of such requirements.

5.5. Serviz reserves the right to reject, suspend, or cancel accounts, listings, or Bookings where there are indications of fraud, risk, breach of these Terms, or legal requirement, without this giving rise to any right to compensation.


6. Platform rules of use

6.1. Anti-circumvention (off-platform). It is prohibited to use the Platform to source clients or providers and then negotiate, quote, contract, or pay for Professional Services outside the Platform. Such conduct may result in suspension or termination of the account and a claim for the circumvented Commissions.

6.2. Monitored chat. Communications between Users within the Platform are processed by automated systems (including artificial intelligence) that detect and block the exchange of personal contact details (phone numbers, emails, addresses, social media handles) and other prohibited content, in order to protect Users and prevent circumvention. By using the chat, you accept this processing (see the Privacy Policy).

6.3. Without limitation, it is prohibited to: (a) use the Platform for unlawful purposes; (b) impersonate others or create fake accounts; (c) post false, misleading, defamatory, discriminatory, or offensive content; (d) manipulate reviews, ratings, or metrics; (e) introduce malware or compromise Platform security; (f) reverse engineer, scrape, or make unauthorized automated use of the Platform; (g) use the Platform for money laundering, terrorism financing, or other illicit financial activity; (h) offer illegal services or services requiring credentials the Provider lacks.

6.4. Serviz may remove content, restrict features, withhold payments pending investigation, and suspend or terminate accounts in the event of breach, fraud, or orders from a competent authority.


7. Service listings

7.1. Every Professional Service listing goes through a prior review stage and only becomes visible after Serviz approval. Approval does not constitute endorsement or guarantee (see 3.5).

7.2. The Provider warrants that their listing is truthful and that the price, scope, and conditions of the Professional Service are accurately described.

7.3. Serviz may reject, unpublish, or require changes to any listing, in particular for unmet license requirements, prohibited content, or third-party claims.

7.4. Standard accounts may designate one (1) Operator per service; PRO Subscription accounts, the number provided in their plan. The Provider is liable for the acts and omissions of their Operators as if they were their own.


8. Bookings, prices, currencies, and schedules

8.1. Prices for Professional Services are set by each Provider and are listed, displayed, and charged in the currency of the country where the service is performed.

8.2. All dates and times associated with a Booking are governed by the time zone of the location where the service will be performed, with the zone expressly indicated, regardless of the User's device location or settings.

8.3. A requested Booking that is not confirmed by the Provider within 24 hours expires automatically, with no charges or penalties.

8.4. Once a Booking is confirmed, the applicable conditions (price, cancellation policy, location, and schedule) are frozen, without prejudice to modifications agreed under Section 10.6.

8.5. Each User is responsible for the taxes applicable to their activity on the Platform (including, as applicable, income tax, VAT or other indirect taxes, and social contributions). Serviz may apply withholdings and report information to tax authorities where required by law.


9. Payments

9.1. All payments are made exclusively by digital means through the Platform, via third-party payment processors (currently Braintree, a PayPal company). Cash payments or payments through any channel outside the Platform are prohibited.

9.2. Serviz does not store full payment card data; such data is processed and held by the payment processor in accordance with PCI-DSS standards.

9.3. When requesting a Booking, the Client authorizes the authorization and/or capture of the corresponding amount on their payment method. The actual charge follows the Booking flow (for example, upon Booking confirmation).

9.4. Commissions. Serviz charges Commissions for use of the Platform: (a) a client commission, added to the price of the Professional Service; and/or (b) a provider commission, deducted from the amount remitted to the Provider. Current percentages, minimums, and maximums are transparently displayed before each Booking is confirmed and may vary by country, category, and account type. Serviz may modify Commissions prospectively, with notice through the Platform.

9.5. Every transaction (successful, failed, or intermediate) is recorded in Serviz's systems for audit, security, and compliance purposes.

9.6. In the event of chargebacks, declined payments, or fraud, Serviz may reverse transactions, withhold related funds, debit amounts from future payments or payouts, and/or suspend accounts while an investigation is ongoing.


10. Cancellations, refunds, and penalties

10.1. Each Professional Service has an associated cancellation policy chosen by the Provider from those available on the Platform, displayed to the Client before booking and frozen upon Booking confirmation. The standard policies are:

10.2. Cancellation by the Client. The refund is calculated according to the applicable policy and the time remaining until the scheduled time, and is processed to the original payment method. Crediting times depend on the processor and the card issuer.

10.3. Cancellation by the Provider. The Client receives a 100% refund. If the cancellation occurs within the penalty windows of the applicable policy, the Provider shall pay a penalty (a percentage of the Booking amount, disclosed on the Platform) which is deducted from their upcoming earnings (netting against payouts).

10.4. Client compensation. When a Provider cancellation triggers a penalty, the Client automatically receives, in addition to the refund, a compensation Coupon equal to a percentage of that penalty (disclosed on the Platform). Compensation is granted exclusively in the form of a Coupon for use within the Platform; it is not redeemable for cash.

10.5. Supervening impossibility during performance. If a job that has started cannot be completed, the cancellation is attributed to the party responsible for the impossibility, the Client receives the applicable refund, and Serviz may charge the corresponding Commission to the responsible party. Alternatively, the parties may agree to reschedule.

10.6. Modifications. Before the job starts, either party may propose modifications (date/time, address) without penalty. A modification takes effect only if the other party accepts it; otherwise, the Booking remains under its original terms.

10.7. Nothing in this section limits any non-waivable rights the Client may have as a consumer under the mandatory laws of their country (see Section 24.7).


11. Job performance

11.1. Verification codes. The start and completion of each job are recorded by means of 4-digit codes exchanged between the Client and the Provider/Operator in person. These records determine the Booking milestones for payment and dispute purposes.

11.2. Location verification. To start a job, the traveling party must be within 100 meters of the agreed location, verified via GPS.

11.3. Grace period and no-show. If the traveling party does not arrive within the grace period provided on the Platform (currently 15 minutes), the other party may cancel under the rules of Section 10.

11.4. The Client must ensure safe and adequate access conditions for performing the job. The Provider/Operator must perform the job with the diligence, skill, and regulatory compliance applicable to their trade.


12. Provider payouts

12.1. Amounts owed to the Provider (the Professional Service price minus Commissions, penalties, and other applicable charges) are remitted by transfer to the bank account registered by the Provider, through international payment providers (currently Wise).

12.2. Payouts are processed in periodic batches after verified job completion, subject to prudential and anti-fraud holding periods disclosed on the Platform. Crediting times depend on the provider and the destination banking system.

12.3. The Provider is responsible for the accuracy of their bank details. Serviz is not liable for delays or losses arising from incorrect details provided by the Provider.

12.4. Netting. Serviz may set off (net) against the Provider's payouts: penalties, chargebacks, refunds attributable to the Provider, amounts owed due to fraud or breach, and any other sums owed to Serviz under these Terms. If the debt exceeds the payout, the balance carries over to future payouts.

12.5. Payouts may be suspended while an open dispute, fraud investigation, or justifying legal requirement is pending.


13. Coupons, promo codes, and referrals

13.1. Coupons and promo codes: (a) have no monetary value and are not redeemable for cash; (b) are personal and non-transferable; (c) have an expiration date; (d) may be subject to additional conditions (minimum amounts, categories, countries); and (e) may be revoked in cases of fraud, abuse, or manifest error.

13.2. Referral programs are governed by the specific conditions published on the Platform, which may be modified or discontinued prospectively at any time.

13.3. Fraudulent use of coupons, codes, or referrals (multiple accounts, self-referrals, systematic abuse) entitles Serviz to void the benefits obtained and suspend the accounts involved.


14. PRO Subscriptions

14.1. The PRO Subscription is optional, automatically renewing (monthly or annually depending on the plan), and is charged to the registered payment method at the start of each period.

14.2. You may cancel renewal at any time from the Platform; the subscription remains active until the end of the period already paid. Unless mandatory law provides otherwise, no prorated refunds are granted for partial periods.

14.3. PRO benefits, prices, and plans may change prospectively, with prior notice through the Platform. Price changes apply as of the next renewal.


15. Independence of Providers

15.1. Providers and Operators act as independent contractors, at their own expense and risk. Nothing in these Terms creates an employment, agency (except for the limited payment collection mandate in Section 3.3), partnership, joint venture, or franchise relationship between Serviz and any User.

15.2. Providers freely set their prices, schedules, coverage areas, and work methods, and freely decide which Bookings to accept.

15.3. The Provider exclusively assumes all labor, social security, tax, and insurance obligations with respect to themselves and their Operators, and shall hold Serviz harmless from any claim arising therefrom.


16. Reviews and User Content

16.1. After each completed job, the Client and the Provider may rate each other. Reviews must be truthful, your own, and based on actual experience. Ratings as a Client and as a Provider are independent.

16.2. By posting User Content, you grant Serviz a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, reproduce, adapt, communicate, and display such content for the purpose of operating, promoting, and improving the Platform.

16.3. You represent that you own or hold the necessary rights to the User Content you post, and that it does not infringe third-party rights.

16.4. Serviz may moderate, make non-substantive edits to (for example, redact personal data), or remove User Content that violates these Terms or the law, without any obligation of generalized prior monitoring.


17. Intellectual property

17.1. The Platform, its software, design, trademarks, logos, databases, and proprietary content are the property of Godshot LLC or its licensors and are protected by applicable intellectual property laws.

17.2. Serviz grants you a limited, revocable, non-exclusive, non-transferable license to use the Platform in accordance with these Terms. Any unauthorized reproduction, modification, distribution, or creation of derivative works is prohibited.


18. Privacy

The processing of your personal data is governed by the Privacy Policy, which forms an integral part of these Terms.


19. Disclaimer of warranties

19.1. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERVIZ MAKES NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, UNINTERRUPTED AVAILABILITY, ERROR-FREE OPERATION, OR NON-INFRINGEMENT.

19.2. SERVIZ DOES NOT WARRANT AND IS NOT RESPONSIBLE FOR THE QUALITY, SAFETY, LEGALITY, TIMELINESS, OR OUTCOME OF PROFESSIONAL SERVICES, NOR FOR THE ACCURACY OF INFORMATION POSTED BY USERS, NOR FOR THE SUITABILITY, CONDUCT, OR SOLVENCY OF ANY USER. IDENTITY OR DOCUMENT VERIFICATION DOES NOT CONSTITUTE A GUARANTEE OR ENDORSEMENT.

19.3. Assumption of risk. Professional Services involve in-person interactions between people that Serviz does not control. To the extent permitted by law, you assume the risks inherent in such interactions and agree to take reasonable precautions.

19.4. Release. To the maximum extent permitted by applicable law, you release Serviz from all liability for claims, damages, or disputes between Users (including those arising from the performance or non-performance of a Professional Service). Serviz may, without obligation, offer mediation or support mechanisms for disputes between Users.

19.5. Serviz does not guarantee continuous availability of the Platform and may suspend it in whole or in part for maintenance, security, or technical reasons.


20. Limitation of liability

20.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERVIZ, ITS MEMBERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR: (a) INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES; (b) LOSS OF PROFITS, DATA, OPPORTUNITIES, OR REPUTATION; OR (c) DAMAGES ARISING FROM PROFESSIONAL SERVICES OR THE CONDUCT OF OTHER USERS.

20.2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERVIZ'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (a) THE TOTAL COMMISSIONS ACTUALLY PAID BY YOU TO SERVIZ IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (b) ONE HUNDRED U.S. DOLLARS (USD 100).

20.3. Some jurisdictions do not allow certain exclusions or limitations of liability, particularly with respect to consumers. In such cases, the limitations in this section apply to the maximum extent permitted by mandatory local law (see Section 24.7). Nothing in these Terms excludes liability that cannot legally be excluded (for example, willful misconduct or gross negligence where so provided by law).


21. Indemnification

To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless Godshot LLC and its affiliates, directors, employees, and agents from and against any third-party claim, demand, damage, penalty, loss, or expense (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your User Content; (c) your breach of these Terms or of the law; (d) Professional Services you provide, receive, or offer; or (e) your relationship with other Users, including your Operators.


22. Suspension and termination

22.1. You may close your account at any time from the Platform. Closure does not affect pending obligations (ongoing Bookings, debts, penalties, tax, or indemnity obligations).

22.2. Serviz may suspend or terminate your account, with or without prior notice, in the event of: breach of these Terms, fraud or reasonable suspicion of fraud, risk to other Users, legal requirement, or prolonged inactivity. Where possible and lawful, Serviz will state the reason.

22.3. Upon termination: funds legitimately owed to the Provider will be remitted under Section 12 once offsettable amounts have been deducted and verifications completed; unused Coupons expire; and sections that by their nature should survive (including 3, 15, 16.2, 19, 20, 21, 24, and 26) remain in force.


23. Changes to these Terms

Serviz may modify these Terms. Material changes will be notified through the Platform or by email reasonably in advance of their effective date. Use of the Platform after the effective date constitutes acceptance of the new Terms. If you do not agree, you must stop using the Platform and may close your account. The current version is always available at https://serviz.lat/en/terms.


24. Governing law and dispute resolution

24.1. Governing law. These Terms are governed by the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws rules, and without prejudice to the mandatory consumer protection rules of the User's country of residence (see 24.7).

24.2. Prior negotiation. Before initiating any formal claim, the parties will attempt to resolve the dispute in good faith by contacting info@serviz.lat. If the dispute is not resolved within 30 days, either party may initiate the procedure set out below.

24.3. Binding individual arbitration. Any dispute, claim, or controversy arising out of these Terms or the use of the Platform that cannot be resolved amicably shall be finally resolved by individual, confidential, and binding arbitration, administered by the American Arbitration Association (AAA) under its applicable rules (including, where applicable, the Consumer Arbitration Rules). The seat of arbitration shall be Wilmington, Delaware, USA; proceedings may be conducted remotely (by videoconference) or on a documents-only basis where the rules allow. The language shall be English or Spanish, matching the language of the User's contract.

24.4. CLASS ACTION WAIVER. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND SERVIZ AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS, AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTIONS. If this waiver is found unenforceable as to a particular dispute, that dispute shall proceed before the competent courts under 24.6, with arbitration remaining in effect for all other disputes.

24.5. Exceptions. Either party may: (a) bring an individual claim in a competent small claims court; and (b) seek injunctive relief to protect intellectual property rights or the security of the Platform.

24.6. Residual jurisdiction. For any non-arbitrable matter, the parties submit to the state or federal courts located in the State of Delaware, USA, except where mandatory law provides otherwise.

24.7. Consumer rights safeguard. If the mandatory law of the consumer User's country of habitual residence grants them non-waivable rights — including the right to bring claims before the courts or authorities of their domicile, to be governed by their local consumer protection law, or not to be bound by arbitration or the class action waiver — those rights prevail over this Section 24 strictly to the extent of the inconsistency. The remainder of these Terms remains in full force.

24.8. Arbitration opt-out. You may opt out of the arbitration agreement by emailing info@serviz.lat within 30 days of first accepting these Terms, stating your name, your account email, and your unequivocal intent to opt out. Opting out does not affect the rest of the Terms.


25. Country-specific terms

Specific conditions applicable in certain countries (local regulatory, tax, or consumer requirements) are published as Country Annexes at https://serviz.lat/en/terms and prevail over these Terms with respect to what they specifically regulate for that country. As of this version, no annexes have been published; they will be added as Serviz launches operations in each country.


26. General provisions

26.1. Entire agreement. These Terms, the Privacy Policy, and any published annexes constitute the entire agreement between you and Serviz regarding the Platform and supersede any prior agreements.

26.2. Assignment. You may not assign these Terms without Serviz's prior written consent. Serviz may assign them to an affiliate or in connection with a reorganization, merger, or sale of assets, with notice through the Platform.

26.3. Severability. If any provision is held invalid or unenforceable, it shall be enforced to the maximum extent possible and the remainder of the Terms shall remain in full force.

26.4. No waiver. Serviz's failure to exercise a right does not constitute a waiver of that right.

26.5. Force majeure. Serviz is not liable for failures caused by events beyond its reasonable control (acts of God or force majeure, third-party provider failures, utility or internet outages, acts of authorities, conflicts, natural disasters).

26.6. Notices. Notices from Serviz will be delivered through the Platform or to the email registered to your account. Notices to Serviz must be sent to info@serviz.lat or to Godshot LLC's registered address.

26.7. Language. These Terms are published in Spanish and English. Each version is binding in its own language. In case of discrepancy, the Spanish version prevails for services performed in Spanish-speaking countries, and the English version prevails in all other cases.

26.8. App stores. If you downloaded the application from the Apple App Store or Google Play: (a) these Terms are between you and Godshot LLC, not with Apple Inc. or Google LLC; (b) Apple and Google are not responsible for the Platform or its content, maintenance, or support; (c) Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the app downloaded from the App Store and may enforce them; and (d) your use of the app must also comply with the applicable store's terms of service.

26.9. Survival. Provisions that by their nature should survive termination of these Terms (including Sections 3, 15, 16.2, 19, 20, 21, 24, and 26) shall remain in effect.
